These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and SEWPOINT ("we," "us," or "our"), governing your access to and use of the SEWPOINT web application, Chrome browser extension, and all related services (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Service.

SEWPOINT is an AI-powered editing assistant for Google Slides. The Service enables users to submit natural-language instructions to modify, reformat, and style presentations, and to create reusable style templates. The Service is accessed via a web dashboard and a Chrome browser extension that interfaces with Google Slides and Google Sheets through the Google API.

You must be at least 16 years old (or the applicable age of digital consent in your jurisdiction) to use the Service. By registering, you represent that:

• All information you provide is accurate, current, and complete
• You will maintain the accuracy of your registration information
• You have the legal capacity to enter into binding agreements
• You are not barred from receiving services under applicable law

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at admin@sewpoint.app if you suspect unauthorized access to your account.

The Service accesses your Google Slides and Google Sheets data through the Google API with your explicit OAuth consent. By connecting your Google account, you acknowledge that:

• You grant SEWPOINT permission to read and modify presentations and spreadsheets on your behalf, as authorized through Google OAuth
• You may revoke this access at any time via your Google Account permissions
• Our use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements
• SEWPOINT is not affiliated with, endorsed by, or sponsored by Google
• We are not responsible for changes to the Google API, Google's terms, or service interruptions on Google's part

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Process content that is illegal, harmful, defamatory, or that infringes on third-party intellectual property rights
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Circumvent rate limits, usage quotas, credit systems, or other technical restrictions
• Use automated tools, bots, or scrapers to access the Service except through our officially supported API
• Transmit any malware, viruses, or other malicious code
• Resell, sublicense, or redistribute the Service or access to it without our express written permission

All code, designs, trademarks, service marks, logos, and other materials comprising the Service are owned by or licensed to SEWPOINT and are protected by applicable intellectual property laws. Your use of the Service does not grant you any ownership rights in the Service itself.

Your content: You retain full ownership of your Google Slides content and any templates you create. By using the Service, you grant SEWPOINT a limited, non-exclusive, royalty-free license to process and store your content solely as necessary to provide and operate the Service.

Certain features of the Service require the purchase of credits or a subscription. The following terms will apply when payment processing is live:

• All fees are displayed in USD before purchase
• Payments are processed by Stripe, a PCI DSS-compliant third-party payment processor; your payment details are governed by Stripe's Privacy Policy
• By subscribing, you authorize SEWPOINT to charge your payment method on a recurring basis until you cancel
• Credits purchased are non-refundable except as required by applicable consumer protection law
• We reserve the right to modify pricing with at least 14 days' advance notice; changes will not affect the current active billing cycle
• Failure to maintain a valid payment method may result in suspension of paid features
• If you are located in the EU/UK, you have a statutory right to cancel a subscription within 14 days of purchase (digital services cooling-off period), unless you have already started using the paid features

This section will be updated with complete payment terms when billing is live.

The Service uses third-party AI models to interpret your instructions and modify your presentations. You acknowledge that:

• AI-generated modifications may contain errors, inaccuracies, or unexpected results
• You are solely responsible for reviewing and accepting any changes made to your presentations before use
• We do not guarantee that AI outputs will meet specific quality, accuracy, or fitness-for-purpose standards
• The Service is a productivity tool designed to assist your workflow, not a substitute for professional judgment
• We are not liable for decisions made based on AI-generated content

We aim to maintain high availability but do not guarantee uninterrupted or error-free operation. We may:

• Modify, suspend, or discontinue any feature or part of the Service, with reasonable notice where practicable
• Perform scheduled maintenance that may temporarily affect availability
• Update functionality, interfaces, or AI models at our discretion

We will make reasonable efforts to notify users of material changes that affect their use of the Service.

You may terminate your account at any time via account settings or by contacting admin@sewpoint.app.

We may suspend or terminate your access immediately and without prior notice if you violate these Terms, engage in abusive or fraudulent behavior, or fail to pay applicable fees after reasonable notice.

Upon termination:

• Your right to access the Service ceases immediately
• We will delete or anonymize your account data in accordance with our Privacy Policy within 30 days
• Provisions that by their nature survive termination remain in effect, including Sections 6, 8, 11, 12, and 13

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
• We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, profits, or goodwill
• Our total cumulative liability to you for any and all claims arising from the Service shall not exceed the greater of (a) USD $100 or (b) the total fees you paid to us in the 12 months preceding the claim

Nothing in these Terms limits our liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law (including EU/UK consumer law).

You agree to indemnify, defend, and hold harmless SEWPOINT, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law; or (c) your infringement of any third-party rights.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.

Any dispute arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration in Sheridan, Wyoming, or in the state or federal courts of Wyoming, at our election.

EU/UK residents: Nothing in this clause affects your rights under applicable mandatory consumer protection laws in your country of residence, including the right to bring proceedings before your local courts.

We may update these Terms from time to time. The revised "Last updated" date at the top reflects the most recent version. We will provide notice of material changes via email or in-app notification at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.

Severability: If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary, and all remaining provisions continue in full force.

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SEWPOINT regarding the Service and supersede any prior agreements.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to any successor entity.
